4. Client Responsibilities
To ensure success, clients agree to:
Provide access to required ad accounts, websites, and analytics tools.
Supply accurate data, creatives, and product information.
Maintain payment of fees as agreed upon in the service contract.
Avoid making unapproved changes to live campaigns or tracking setups.
We reserve the right to pause or terminate Services if client cooperation or data access is withheld.
5. Payments and Refunds
All payments are due as specified in your invoice or service agreement.
Services are non-refundable once work has begun, as our campaigns, audits, and setups involve significant upfront resources.
In case of overdue payments, campaign activities may be paused until payment is received.
6. Data Collection and Privacy
We use data to optimize ad performance and improve marketing accuracy. This may include tracking website activity, ad engagement, and conversion metrics through Meta Pixel, Conversions API, UTMs, and GA4.
We do not sell or share client data with unauthorized third parties.
All data handling complies with applicable privacy and data protection laws.
Clients are responsible for ensuring their own compliance with platform terms (e.g., Meta Ads policies, GDPR if applicable).

7. Intellectual Property
All content, materials, strategies, frameworks, creative assets, and documentation developed by XEED LLC remain our intellectual property unless explicitly transferred in writing.
Clients retain full ownership of their own brand assets, logos, and data provided to us.
You may not reproduce or distribute our materials or internal systems (such as funnels, templates, or ad frameworks) without written consent.
8. Results Disclaimer
Marketing results depend on numerous external factors including product quality, market demand, competition, and client cooperation.
While XEED LLC aims to achieve measurable improvements (e.g., lower CPA, increased ROAS, higher sales), we do not guarantee specific results such as revenue targets, lead counts, or ROI benchmarks.
9. Limitation of Liability
To the fullest extent permitted by law:
XEED LLC shall not be held liable for any indirect, incidental, or consequential damages arising from your use of our Services or Site.
Our total liability in any case shall not exceed the total amount paid by you for the specific service in question.
We are not liable for platform issues (e.g., Meta Ads account bans, policy updates, or outages) beyond our control.
10. Confidentiality
Both parties agree to maintain strict confidentiality of all proprietary, financial, and strategic information shared during collaboration.
Confidentiality obligations survive termination or expiration of any agreement.
11. Use of AI and Automation Tools
Our Services may include automated systems that analyze campaign performance and make recommendations or optimizations.
By using our Services, you consent to the use of such AI-based tools.
We ensure these systems comply with ethical standards and respect user privacy.
12. Termination of Services
Either party may terminate the service agreement with written notice according to the terms specified in the client contract.
Upon termination:
All outstanding payments become immediately due.
XEED LLC retains intellectual property rights over internal frameworks, templates, and systems used during the project.
13. Third-Party Services
Our campaigns may use third-party platforms such as:

Google Analytics
Shopify or WooCommerce
Calendly, Slack, or ClickUp
We are not responsible for the functionality, uptime, or policies of these third-party services. Clients must comply with their respective terms of use.
14. Indemnification
You agree to indemnify and hold harmless XEED LLC, its directors, employees, and partners from any claims, damages, or expenses arising from:
